Welcome to Northbyte Web Studio (“we”, “our”, “us”). By accessing or engaging our services, you agree to the following Terms of Service. These terms outline the relationship between you (“the Client”) and Northbyte Web Studio.

1. Services

We provide web design, development, and digital solutions as described on our website or in written proposals. Each project scope, timeline, and deliverables will be agreed upon before work begins.

2. Quotes and Payment

• All quotes are valid for 14 days unless otherwise stated.
• Projects typically require a 50% deposit before commencement and 50% on completion, unless otherwise agreed in writing.
• Payments must be made via bank transfer or other approved methods within 7 days of invoice.
• Late payments may result in suspension of services or additional fees.

3. Client Responsibilities

• The Client agrees to provide all necessary content, images, and feedback within agreed timelines.
• Delays in content delivery or approvals may extend project deadlines.
• The Client is responsible for ensuring they have rights or licences for all materials supplied to us.

4. Revisions and Approvals

• All projects include a defined number of design revisions (as outlined in the proposal).
• Additional revisions or scope changes may incur extra charges, which will be agreed upon before proceeding.

5. Intellectual Property

• All design and development work remains the property of Northbyte Web Studio until final payment is received.
• Upon full payment, ownership of the final website, code, and design transfers to the Client, excluding any third-party components, plugins, or libraries used under licence.
• We reserve the right to display completed projects in our portfolio and marketing materials unless otherwise agreed.

6. Hosting, Maintenance, and Third-Party Services

Hosting, domain registration, and third-party tools (such as analytics or form integrations) are managed under their respective providers’ terms. Northbyte Web Studio is not liable for service interruptions or downtime caused by third-party vendors.

7. Cancellations and Refunds

• Either party may cancel a project before completion with written notice.
• In such cases, all completed work to date will be billed accordingly and deposits may be non-refundable.

8. Liability

We take reasonable care in delivering all projects but do not guarantee uninterrupted or error-free website operation. To the extent permitted by law, Northbyte Web Studio will not be liable for any loss, damages, or expenses arising from the use of our services.

9. Privacy

We respect your privacy and handle all data in accordance with our Privacy Policy.

10. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts in Victoria.
